Terms of Service

Welcome to Stradone Paving. These Terms & Conditions set out the rules and guidelines you must agree to and follow to use our website and purchase our products.

Definitions

​

  • Conditions: The terms and conditions set out in this document, as amended from time to time.

  • Contract: The agreement between Stradone Paving and the Customer for the sale and purchase of goods in accordance with these Conditions.

  • Customer: The person or company purchasing Goods from Stradone Paving.

  • Company: Stradone Paving (registered in Ireland).

  • Order: The Customer’s verbal or written acceptance of the Company’s quote or pricelist, as confirmed by the Company.

  • Pricelist: Any pricelist issued to the Customer by Stradone Paving.

  • Specification: Any specification for the Goods, including plans, drawings, brochures, test data, point of sale material, and website information agreed in writing.

  • Goods: Products supplied by Stradone Paving, including paving, natural stone, and related landscaping materials.

  • Goods Guidelines: Guidelines issued by the Company for the proper use of the Goods.

  • Force Majeure Event: Events beyond reasonable control, including flood, fire, act of God, exceptional weather, lack of supplies, or delivery partner failures.

  • Business Day: Any day other than Saturday, Sunday, or a public holiday.

  • Intellectual Property: All patents, copyrights, trademarks, business names, domains, design rights, and confidential information of Stradone Paving.

 

1. Interpretation

This agreement shall be construed as a whole and interpreted fairly. Section headings are for reference only and do not affect interpretation.

 

2. Basis of Contract

2.1 These Conditions apply exclusively to the Contract. Any inconsistent terms from the Customer are excluded.

2.2 The Order constitutes an offer to purchase Goods in accordance with these Conditions. The Customer must ensure all details are accurate.

2.3 The Contract is formed only when Stradone Paving issues written acceptance of the Order.

2.4 Customers waive any conflicting terms contained in their own documents.

2.5 Samples, brochures, advertising, or website images are indicative only and do not form part of the Contract. Natural variation in colour, texture, and finish is expected.

2.6 Quotations are valid for 30 days unless otherwise stated.

2.7 Listed prices are not offers; price lists are issued annually or upon commencement of trade.

2.8 Goods may not be exported without prior written consent from Stradone Paving.

 

3. Goods

3.1 Goods are described in brochures, websites, or point-of-sale material, as modified by Specifications. Minor measurement deviations are acceptable.

3.2 Availability of specific sizes depends on stock at the time of manufacture.

3.3 Customers must provide all site measurements and templates unless agreed otherwise in writing.

3.4 Natural stone characteristics such as colour, veining, and texture may vary. Samples are indicative only.

3.5 Certain stones may require treatment for quality control; this does not reduce material quality.

3.6 Goods must be used strictly according to the Goods Guidelines.

3.7 Customers should allow for 10% wastage when ordering natural stone.

3.8 Porcelain products may vary by batch; allow 3–5% extra for future replacements.

 

4. Claims / Liability

4.1 Customers must inspect Goods on delivery or collection and report damage, shortages, or incorrect items within 3 Business Days.

4.2 Claims must be in writing, with photos, references, and full details.

4.3 The Company will investigate all claims reasonably.

4.4 Claims arising from Customer negligence, installation errors, or third-party alterations are not covered.

4.5 Defective goods may be repaired or replaced at the Company’s discretion.

4.6 Claims not complying with these conditions will not be accepted.

 

5. Delivery and Collections

5.1 Each delivery includes a note with order details, product codes, and quantities.

5.2 Delivery is to the location specified in the Order unless otherwise agreed. Customers collecting goods must provide suitable transport; the Company may refuse unsuitable collection.

5.3 Offloading is included for 30 minutes; additional time may incur a charge.

5.4 Delivery dates are approximate and not binding.

5.5 The Company is not liable for delays caused by Force Majeure Events or inadequate instructions from the Customer.

5.6 Failure to take delivery within five Business Days may result in storage charges.

5.7 After ten Business Days without collection, the Company may resell goods, charging the Customer for costs or shortfalls.

5.8 Goods may be delivered in installments, invoiced separately.

5.9 Customers must provide reasonable assistance, access, and compliance with delivery instructions.

6. Returns

6.1 Returns are not accepted for over-orders or a simple change of mind.

6.2 Bulk chippings, cladding, adhesives, and bespoke products cannot be returned unless an error occurs.

6.3 If returns are accepted:

  • 15% restocking fee applies.

  • Goods must be unused and resalable.

  • Return within 7 days of delivery.

  • Customer is responsible for return costs.

 

7. Risk and Title

7.1 Risk passes to the Customer on delivery or collection.

7.2 Ownership remains with Stradone Paving until payment is made in full.

7.3 Customers must insure goods and store them safely until ownership passes.

7.4 The Company may repossess goods if payment conditions are not met.

 

8. Price and Payment

8.1 Prices are as quoted or in the current price list and exclude VAT and delivery.

8.2 Prices may be adjusted for specification changes, delays, or increased costs.

8.3 Architectural orders require a 50% deposit. Cancellation may incur full indemnity for losses.

8.4 Prices may increase up to 3 Business Days before delivery due to uncontrollable factors or Customer changes.

8.5 Payment is due prior to delivery unless a credit facility is granted.

8.6 Overdue accounts may be referred to a collection agency, with costs charged to the Customer.

 

9. Termination

9.1 The Company may suspend or cancel deliveries if:

  • Payment is late

  • Customer becomes insolvent

  • Customer ceases business

  • Assets are seized or liquidated

 

10. Limitation of Liability

10.1 The Company is not liable for death or personal injury caused by negligence, fraud, or statutory breaches.

10.2 Liability for other losses is limited to the price of the Goods; indirect or consequential losses are excluded.

 

11. Intellectual Property

All intellectual property rights in the Goods remain with Stradone Paving. No rights are transferred to the Customer.

 

12. Force Majeure

Neither party is liable for delays caused by events beyond reasonable control. Continuous disruption over 3 months allows the Customer to terminate the Contract.

13. General

  • Assignment: The Company may assign rights; the Customer may not without consent.

  • Confidentiality: Both parties must keep information confidential for five years.

  • Customer’s Customers: Responsibility for informing end users lies with the Customer.

  • Entire Agreement: This document supersedes all prior agreements.

  • Variation: Changes must be in writing.

  • Waiver: Failure to enforce rights is not a waiver.

  • Severance: Invalid provisions do not affect the rest of the agreement.

  • Notices: Notices must be in writing and sent to the registered address, by post, courier, or email.

  • Third-Party Rights: Only parties to this Contract may enforce it.

  • Governing Law: Irish law governs this Contract.

  • Jurisdiction: Courts of Ireland have non-exclusive jurisdiction.
